This is a notice that is sent to the shareholders of a specific corporation notifying them
of the date and location of the annual shareholders meeting. In many states,
corporations are required to have an annual shareholders meeting. As well as providing
the date and location of the annual meeting, this notice also sets forth which matters will
be addressed at the meeting. This notice should be used by small businesses or other
entities that want to provide information to their shareholders about an upcoming annual
shareholders meeting.

To the Stockholders of (Name of Corporation):
The annual meeting of the stockholders of (Name of Corporation) will be held on
(date), at (time of day), at (street address, city, state, zip code), to consider and take
action on the following matters:
1. The election of (number) Directors of the Corporation.
2. A proposal to increase the number of authorized shares of the Corporation's
common stock, more fully described in the accompanying Proxy Statement.
3. A proposal to approve the Corporation’s Stock Option Plan, more fully described
in the accompanying Proxy Statement.
4. A proposal to approve the Corporation’s Stock Incentive Plan, more fully
described in the accompanying Proxy Statement.
5. A proposal to ratify the selection of (Name of Accounting Firm) as the
Corporation’s independent auditors, more fully described in the accompanying
Proxy Statement.
6. Such other matters as may properly come before the meeting.
The Board of Directors of the Corporation has fixed the close of business on
(date), as the record date for the determination of the stockholders entitled to notice of
and to vote at the annual meeting and at any adjournment of the meeting. The stock
transfer books of the company will not be closed.
All stockholders are invited to attend the annual meeting in person, but those
who are unable to do so are urged to execute and return the enclosed proxy promptly in
the enclosed postage-paid envelope. Since a majority of the outstanding shares of
common stock of the Corporation must be represented at the annual meeting in order to
conduct business, your promptness in returning the enclosed proxy will be greatly
appreciated. Your proxy is revocable and will not affect your right to vote in person in
the event you attend the meeting and revoke your proxy.
