This is an agreement entered into between certain individuals and a business whereby the individuals agree to indemnify the business against taxes. Execution of this agreement will result in the individuals being jointly and severally liable for the business’s tax obligations. A separate “Exhibit A” can be added to this agreement which lists the individuals that will indemnify the business. This agreement can be used by individuals that want to indemnify a business, or by small businesses that want certain individuals to be liable for taxes.
