TERMINATION OF BOAT BUILDING CONTRACT



This Termination of Boat Building Contract (the “Termination”) is made on this

______________ day of __________________, 20__, by and between __________, of

________________, (“ABC”), and _________________, of _______________, (“XYZ”)





For good and valuable consideration, the receipt and sufficiency of which is hereby

acknowledged, the parties agree as follows:





1. The parties have entered into a Boat Building contract dated ____________________, which

is attached and made a part of this Termination: (the “Contract”). The Parties are bound to

perform their respective obligations under the terms of the said Contract.





2. The Parties hereby agree to mutually terminate and cancel this contract effective as of this

___________ day of ________________, 20________ (the “Termination Date”). Effective

Termination Date, the said Contract shall be null, void and of no further binding effect, provided

however, that with respect to any provision in the Contract that would otherwise survive in

accordance with the terms and conditions of the Contract, the Parties hereby agree that such

provisions shall survive the termination of the Contract.





3. Effective as of the Termination date, each party hereby fully and unconditionally releases and

forever discharges the other Party from any and all actions, causes of action, suits, debts,

obligations, claims, liabilities and demands whatsoever it has or may have under the terms of this

contract.





4. This Termination shall be construed under the laws of the State of _____________________.





5. This Termination constitutes the entire agreement between the parties and supersedes any

prior or contemporaneous agreements. Nothing herein contained shall be binding upon the

parties until this agreement has been executed by an officer of each party. This agreement may

not be modified or supplemented except in writing signed by both parties.





6. This Termination shall be binding upon and inure to the benefit of the Parties, their

predecessors, assigns, successors in interest, personal representatives, their past and present

attorneys, principals, employees, independent contractors, officers, directors, shareholders,

parents, issue, subsidiaries, agents, servants, estates, heirs, administrators, executors,

conservators, trustees, legatees, and other affiliated entities of each of the Parties hereto
