This is an agreement that can be used when a party wants to transfer ownership of a
domain name for a website to another party. This form sets forth the rights and
responsibilities of the parties, and allows for the successful transition of ownership of the
domain name from one party to another. This document is ideal for individuals or other
entities that want to buy or sell an interest in a domain name.
DOMAIN NAME ASSIGNMENT AGREEMENT
This Domain Name Assignment Agreement (the “Agreement”) is made as of the ______ day of

GIVING AWAY THE RIGHTS] (the “Assignor”) and ____________________ [NAME OF
PERSON RECEIVING THE RIGHTS] (the “Assignee”) (together referred to as the
“Parties”).
FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which is
hereby acknowledged:
1. Assignment. Assignor hereby assigns, conveys, and transfers to = Assignee, and
its/his/her successors and assigns, and Assignee hereby accepts all of Assignor’s
right, title, and interest including but not limited to, all of Assignor’s common law
rights in and to the registered domain name “_______________” [PROVIDE THE
DOMAIN NAME] and any goodwill accompanying same, and all rights to sue for
past infringement and any recovery therefore (collectively the “Domain Name”). In
addition, Assignor hereby assigns, conveys, and transfers to Assignee and its/his/her

other information pertaining to the operation of the website known as

2. Further Assurances. Assignor hereby covenants that it/he/she will, at any time upon
request of Assignee, execute and deliver to Assignee any new or confirmatory
instruments and perform (at Assignee’s reasonable expense) any other acts the
Assignee may reasonably request in order to fully assign, transfer to, and vest in
Assignee, all of the Assignor’s right, title, and interest in and to the Domain Name.
3. Covenants. Assignor further covenants that it will not, anywhere in the world,
challenge, or cause a third party to challenge, the validity and ownership by Assignee
of the Domain Name and will not, anywhere in the world, directly or indirectly seek
to register, defend, compromise, or dispute any of Assignee’s rights in and to the
Domain Name. Assignor also will not, anywhere in the world, directly or indirectly
seek to register or otherwise acquire any rights in any domain names, trade names,
trademarks, service marks, or other intellectual property assets that are or may be, or
contain portions that are or may be, confusingly similar to the Domain Name.
4. Representations. Assignee asserts that, to the best of Assignee’s information and
belief, no claim regarding ownership and/or use of the Domain Name now exists, and
no third party has manifested any such ownership rights.
5. General. This Agreement may be executed in two or more counterparts, which
together shall constitute one Agreement, and shall be governed by the laws of the
