(hereinafter referred to as the “Vendor”)





OF THE FIRST PART



AND:

(hereinafter referred to as the “Purchaser”)





OF THE SECOND PART



WHEREAS the Vendor and the Purchaser have entered into an agreement of purchase

and sale wherein the Vendor has agreed, inter alia, to sell, assign and transfer to the Purchaser

and the Purchaser has agreed to purchase from the Vendor all of Vendor’s right, title and interest

to a certain boat, the more particular description of which is as follows: _____ [Instruction and

Comment: Insert description, including type, make and color, model, year, Hull ID and/or

registration number, make and type of motor, motor ID number, rated passenger/weight

carrying capacity, odometer/hours reading, lifesaving equipment and trailer identification

information if included. If trailer is to be included, you want to include it in the definition

here, so every other reference to Boat is deemed to include a reference to the trailer.] which

is the property of the Vendor (the “Boat”).



NOW THEREFORE THIS INDENTURE WITNESSETH that for good and

valuable consideration and the sum of _________________ ($________)[Instruction: Insert

amount to be paid.] Dollars now paid by the Purchaser to the Vendor pursuant to the

_________________ [Instruction: Insert name of written agreement entered into for sale of

boat, if applicable, otherwise delete reference to a separate agreement.] Agreement, the

receipt and sufficiency of which is hereby acknowledged by the Vendor, which consideration

includes the consideration for the transfer of the goods and chattels hereinafter referred to, the

Vendor hereby grants, bargains, sells, assigns, transfers, conveys and sets over unto the

Purchaser, its successors and assigns, all of its right, title and interest in and to the boat.

The Vendor covenants, promises and agrees with the Purchaser that the Boat is solely

owned by the Vendor as beneficial owner thereof with a good and marketable title thereto, free

and clear of all mortgages, liens, charges, pledges, security interests, encumbrances or other

claims whatsoever. The Vendor warrants that at the date of signature of this bill of sale there are

no licensing fees or fines or other penalties outstanding against the registration of the Boat.



The Vendor covenants, promises and agrees with the Purchaser that the Boat is in good

working order, unless otherwise agreed to by the terms and conditions of the agreement for sale

and is being sold and delivered as set forth in the agreement of sale, normal wear and tear

excepted. [Comment: If Vendor performing any repairs to Boat prior to sale as a condition

of sale, state so here as well as deadline for when repairs must be completed. Also, if

parties know of anything wrong with boat, same should be stated here.]



The Vendor covenants and agrees with the Purchaser, its successors and assigns, that it

will, from time to time and at all times hereafter, upon every reasonable request of the Purchaser,

its successors and assigns, make, do and execute or cause and procure to be made, done and

executed all such further acts, deeds or assurances as may be reasonably required by the

Purchaser, its successors and assigns, for more effectively and completely vesting the Boat in the

Purchaser, its successors and assigns.



The Buyer [Option: Parties can change this to read Vendor, but would be an

unusual circumstance to do so.] shall be liable for all costs relating to the registration of the

Boat into his/her name and any other costs involved.



Possession of the boat shall be transferred in accordance with the purchase and sale

agreement. [Option: If no written separate agreement, state here how possession shall be

transferred, and how payment should be made for the boat.]



This Indenture shall be governed by and construed in accordance with the laws of the
