This Post-Incorporation To-Do and Information Checklist includes information that the

officers of a corporation need to know regarding the next steps in starting the business

and complying with legal formalities. The checklist provides information on which

documents must be prepared and filed, issuing shares of stock, tax matters, conducting

required meetings, and executing contracts. This document should be used by the

officers of a newly-formed corporation.

POST-INCORPORATION TO-DO AND INFORMATION CHECK LIST



 Prepare Articles of Incorporation, and have them signed and acknowledged by the

 File Articles of Incorporation with Secretary of State’s Office and request extra certified

copies.



 Order corporate set (which will include Minute book, Seal, Share Certificates).



 Prepare Bylaws. [Comment: Sample Bylaws can be purchased on docstoc.com]



 If desired, prepare Shareholders’ Agreement. [Comment: Sample Shareholders’

Agreement can be purchased on docstoc.com]



 Conduct Organizational Meeting of Board of Directors. [Comment: Sample Minutes of

 Issue the Shares of stock purchased by the Shareholders.



o Share Certificates, including all required legends, prepared, executed and delivered



o Consideration received for shares; receipts signed



o Notice of Issuance of Securities filed with Secretary of State’s Office. [Comment: In

California, if a Close Corporation, http://www.corp.ca.gov/forms/pdf/25102h.pdf, should be

filed]



 If desired, Sub-Chapter S election, Form 2553 (http://www.irs.gov/pub/irs-pdf/f2553.pdf)

prepared, executed and forwarded to IRS.



 Form SS-4 (Application for Employer I.D. Number) (http://www.irs.gov/pub/irs-

pdf/fss4.pdf) prepared, executed and forwarded to IRS, or applied for online

(https://sa1.www4.irs.gov/modiein/individual/index.jsp).



 Statement of Information to be completed executed and filed with Secretary of State.

[Comment. In California, http://www.sos.ca.gov/business/corp/pdf/so/corp_so200c.pdf must be

filed within 90 days of incorporation]



 Open corporate bank account, remember to bring:



o Certificate of Incorporation



o Employer I.D. Number

o Copy of Organization Minutes or other Resolution authorizing person to act and open

bank account



 Major actions taken by the corporation will require a special meeting of the Directors and

special minutes must be executed. [Comment: Sample Special Minutes/Resolutions can be

 In certain instances, as dictated by the Bylaws, major actions taken by the corporation will

require a special meeting of the Shareholders and special minutes must be executed. [Comment:

 Conduct Annual Meeting of the Shareholders, once per year, on the date set forth in the

Bylaws, to, among other things, elect directors. [Comment: Sample Minutes of Annual

 Conduct Annual Meeting of the Board of Directors, once per year, on the same date as the

annual meeting of the Shareholders, to, among other things, elect officers. [Comment: Sample

 Employer-Employee agreements should be executed with all employees of the company,

including officers. [Comment: Sample Employer- Employee Agreements can be purchased

 Independent Contractor should be executed with all independent contractors working with

 Non Disclosure Agreements (NDA) should be executed with all persons whom will be privy

to corporate information that is confidential. [Comment: Sample NDAs can be purchased on

 If desired, Fictitious Business Name Statement filed with County Clerk and published

[Comment. In Los Angeles County, the following is the form:

 Apply for and obtain required permits or licenses from regulatory authorities having

jurisdiction over the corporation.
