This is an agreement between a courier company and a subscriber, where the
subscriber agrees to pay the courier company a minimum monthly subscription fee and
a per delivery fee, which may deducted out of the monthly minimum fee. In return, the
company agrees to deliver the subscriber’s packages on demand. This template courier
and delivery service agreement can be customized to fit the needs of a company
seeking to hire a courier or by a company providing courier and delivery services.
SERVICE AGREEMENT
THIS SERVICE AGREEMENT (the “Agreement), made as of ___________ [Instruction:
Insert Date], by and between, by and between ___________ [Instruction: Insert Name of
Courier Company], ___________ [Instruction: Insert Address] (“Company”) and
___________ [Instruction: Insert Name of Subscriber], ___________ [Instruction: Insert
Address] (“Subscriber”).
WHEREAS, Company is engaged in the business of collection and delivery (“C&D”) of
documents, packets and parcels (collectively “Parcels”) from place to place, throughout the
world, in accordance with instructions of their clients;
WHEREAS, Subscriber desires to utilize Company’s services to C&D Subscriber’s Parcels
throughout the world;
NOW, THEREFORE, in consideration of the mutual promises, covenants, stipulations and
agreements set forth herein, Company and Subscriber hereby acknowledge and agree as follows:
1. Collection and Delivery.
A. Provided that Subscriber fully performs all of Subscriber’s material obligations
hereunder, upon request from Subscriber, in the manner described in paragraph 1(B), Company
shall C&D Subscriber’s Parcels.
B. In the event that Subscriber desires for Company to C&D a Parcel, Subscriber shall
contact Company to request C&D by: (i) calling Company’s request line (___________
[Instruction: Insert Phone Number]), visiting Company’s website (___________ [Instruction:
Insert Website Address]) and filling out the C&D Information Request, or faxing Company
(___________ [Instruction: Insert Fax Number]) a completed C&D Information Request form
(which form is available upon request). Each C&D request must: (i) contain adequate
information regarding the C&D of the Parcel and the type of service requested; (ii) comply with
the terms and conditions contained herein; and (iii) comply with all applicable Federal and State
laws and regulations.
2. Fees. In full consideration of Company’s services hereunder, Subscriber shall pay the
following fees (the “Fees”) to Company. All Fees shall be due within thirty days of Subscriber’s
receipt of an itemized invoice. All unpaid Fees shall be subject to Company’s standard late
payment fees and penalties, including but not limited to the accrual of interest at the legal rate.
Further, if any Fees become more than sixty (60) days in arrears, Company reserves the right to
refuse to C&D additional Parcels for Subscriber.
A. Subscriber shall pay Company a minimum monthly subscription fee in the amount of

Fee”). The Subscription Fee shall serve as a non-refundable, but recoupable, advance payment
against C&D Fees accrued by Company during the month.
B. For each Parcel collected and delivered hereunder, Subscriber shall pay Company C&D
fees (variable based on weight of the Parcel, expediency of C&D, and location of C&D) as set
forth in more detail in Exhibit “A”, attached hereto and incorporated herein (the “C&D Fee”).
3. Liability.
A. Company limits its maximum liability for any loss or damage to the lesser of: (i)

contents or (iii) the cost to recreate the contents of any Parcel. Company will not accept liability
for any C&D for which the Subscriber has authorized Company to deliver the Parcel without
obtaining a signature. Company will not be liable for loss, damage or delay caused by events
Company cannot control, including but not limited to acts of God; transportation delays; weather
conditions, or force majeure. All claims regarding damages to, loss or delay of any Parcel must
be submitted in writing to Company within thirty (30) days of delivery of the Parcel, otherwise
Company reserves the right to refuse said claim.
B. Company and Subscriber shall each be liable to any third party claimant for their own
acts of negligence with regard to the performance of its duties hereunder, and each shall
indemnify and hold the other harmless for and from all such third party claims arising on account
of their respective a
