An Indemnity Agreement is a document wherein one party agrees to protect or shield another party that would normally be legally liable for potential damages from such liability. In other words, the responseibility for the legal liability of one party is protected by the other party. This general indemnity letter states that one party is not liable for damages/costs by shifting those damages/costs to another party. This form contains standard language that is commonly used in indemnity agreements; however, additional language may be added by the parties to ensure their needs are met. Use this form if the parties have agreed that one party's legal liability will be protected by the other party.
